1. Introduction and Acceptance

Welcome to Archy AI ("Archy," "we," "us," or "our"). These Terms of Service ("Terms") govern your access to and use of the Archy AI platform, website (archyai.io), and related services (collectively, the "Service").

Archy AI is operated by Architectural Intelligence LLC, a Wyoming limited liability company. By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.

IMPORTANT: These Terms contain a binding arbitration clause and class action waiver in Section 12. Please read this section carefully as it affects your legal rights.

2. Service Description

Archy AI provides an AI-powered software architecture consultation platform connecting clients ("Clients") with vetted software development agencies ("Agencies"). Our Service includes:

• AI Consultation: Interactive conversations with our AI architect to define project requirements, technical specifications, and cost estimates.
• Blueprint Generation: Comprehensive project documentation including Business Requirements Documents (BRD) and Technical Requirements Documents (TRD).
• Agency Network: A curated network connecting Clients with pre-vetted development Agencies for project execution.
• Vibe Build: AI-guided self-build tools with CRISP framework prompt packs and execution guidance for founders who want to build with AI assistance.
• Financing Options: Information about potential financing options for software development projects (subject to third-party approval).

3. User Accounts and Eligibility

3.1 Eligibility

You must be at least 18 years old and have the legal capacity to enter into binding contracts to use our Service. By using the Service, you represent and warrant that you meet these requirements.

3.2 Account Registration

To access certain features of the Service, you must create an account. You agree to provide accurate, current, and complete information during registration and to update this information to keep it accurate, current, and complete.

3.3 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized access or use of your account.

4. Client Responsibilities

As a Client using our Service, you agree to:

• Provide accurate and complete information about your project requirements
• Not use the Service for any illegal or unauthorized purpose
• Not attempt to reverse-engineer, decompile, or derive the source code of our AI systems
• Not use automated systems or bots to access the Service without our prior written consent
• Not interfere with or disrupt the Service or servers or networks connected to the Service
• Comply with all applicable laws and regulations

5. Agency Relationship and Network

5.1 Agency Network Model

Archy AI operates a curated agency network that facilitates connections between Clients and Agencies. Agencies are independent contractors and not employees, agents, or representatives of Archy AI.

5.2 Client-Agency Contracts

Any agreement between a Client and an Agency is a separate contract between those parties. Archy AI is not a party to such agreements and is not responsible for:

• The quality, timing, or completion of work performed by Agencies
• Disputes between Clients and Agencies
• Payments made directly between Clients and Agencies
• Any representations, warranties, or commitments made by Agencies

5.3 Agency Vetting

While we conduct technical and security audits of Agencies before admitting them to our platform, such vetting does not constitute a guarantee of performance or quality. Clients are encouraged to conduct their own due diligence.

6. Intellectual Property Rights

6.1 Your Content

You retain all ownership rights in the content you submit to the Service, including project descriptions, requirements, and other materials ("User Content"). By submitting User Content, you grant us a limited, non-exclusive license to use, store, and process such content solely for the purpose of providing the Service.

6.2 Generated Blueprints

Subject to your payment of applicable fees, you own the blueprints and documentation generated by our Service based on your User Content. Archy AI retains no ownership interest in such output.

6.3 Platform IP

Archy AI and its licensors own all rights, title, and interest in and to the Service, including our AI models, algorithms, software, website design, logos, and trademarks. Nothing in these Terms grants you any right to use our trademarks, logos, or brand features.

6.4 Anonymized Data

We may use anonymized, aggregated data derived from your use of the Service to improve our AI models and Service. Such data will be stripped of any personally identifiable information and will not be attributable to you or your company.

7. Payment Terms

7.1 Service Tiers

Access to certain features of the Service may require payment. Our current service tiers and pricing are displayed on our website and are subject to change with notice.

7.2 Payment Processing

We use third-party payment processors to handle payments. By making a payment, you agree to the terms and conditions of our payment processors. We do not store your payment card information.

7.3 Refunds

For consultation-only services, we offer a full refund within 24 hours of purchase if you have not accessed the Service. Blueprint purchases may be eligible for refund consideration on a case-by-case basis. Contact support@archyai.io for refund requests.

7.4 Financing Disclaimer

Any financing options displayed on our platform are provided by third-party financing companies. Archy AI does not provide financing and makes no representations or warranties regarding financing approval, terms, or availability.

8. Disclaimers

8.1 Service "As Is"

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

8.2 AI Limitations

Our AI-generated content, including cost estimates, timelines, and technical recommendations, are approximations based on available information and should not be relied upon as guarantees. Actual costs and timelines may vary significantly.

8.3 Professional Advice

The Service does not constitute legal, financial, or professional advice. You should consult with appropriate professionals before making business decisions based on information from our Service.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ARCHY AI AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

• YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICE;
• ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICE, INCLUDING AGENCIES;
• ANY CONTENT OBTAINED FROM THE SERVICE; OR
• UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT.

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS RELATING TO THE SERVICE EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM OR (B) ONE HUNDRED DOLLARS ($100).

10. Indemnification

You agree to indemnify, defend, and hold harmless Archy AI and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with:

• Your access to or use of the Service
• Your violation of these Terms
• Your violation of any third-party right, including intellectual property rights
• Any dispute between you and an Agency

11. Termination

11.1 Termination by You

You may terminate your account at any time by contacting us at support@archyai.io. Upon termination, your right to use the Service will immediately cease.

11.2 Termination by Us

We may suspend or terminate your access to the Service at any time, with or without cause, with or without notice. Reasons for termination may include, but are not limited to, violations of these Terms or conduct that we determine, in our sole discretion, is harmful to other users, us, or third parties.

11.3 Effect of Termination

Upon termination, we will retain your data for 90 days, during which time you may request export of your User Content and generated blueprints. After this period, we may delete your data.

12. Dispute Resolution

12.1 Informal Resolution

Before filing any claim, you agree to first contact us at legal@archyai.io and attempt to resolve the dispute informally for at least 30 days.

12.2 Mediation

If informal resolution fails, the parties agree to attempt mediation before a mutually agreed-upon mediator in Cheyenne, Wyoming, or via video conference. The costs of mediation shall be shared equally between the parties.

12.3 Binding Arbitration

If mediation is unsuccessful, any remaining disputes shall be resolved by binding arbitration administered by the American Arbitration Association ("AAA") under its Commercial Arbitration Rules. The arbitration shall be conducted in Cheyenne, Wyoming, or via video conference if mutually agreed.

12.4 Class Action Waiver

YOU AND ARCHY AI AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.

12.5 Exceptions

Notwithstanding the foregoing, either party may seek injunctive or equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement of intellectual property rights.

13. Governing Law

These Terms and any disputes arising out of or related to these Terms or the Service shall be governed by the laws of the State of Wyoming, without regard to its conflict of law provisions.

14. Changes to These Terms

We may modify these Terms at any time. If we make material changes, we will notify you by email or by posting a notice on our website prior to the effective date of the changes. Your continued use of the Service after the effective date constitutes your acceptance of the modified Terms.

15. General Provisions

15.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Archy AI regarding the Service.

15.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

15.3 Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

15.4 Assignment

You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction.
